Welcome to Direct'r! We provide a social networking platform designed for film students to showcase their projects, connect with others, and apply for jobs within the community. These Terms govern your access to and use of Direct'r (the "Platform," "we," "us," or "our"), including our website, services, software, and communications (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Services.

1. Who Can Use the Services?

You may use the Services only if you are 13 years or older and capable of forming a binding contract with us. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Your Account

To access certain features, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and agree not to share them with others. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

3. User Conduct

By using the Services, you agree to:

• Post only lawful and appropriate content.
• Not engage in spam, fraud, or abusive behavior.
• Respect the intellectual property rights of others.
• Not impersonate others or misrepresent yourself.

4. Content Ownership and Licensing

You retain ownership of the content you post but grant Direct'r a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content within the platform.

We do not claim ownership over user-generated content but reserve the right to remove content that violates these Terms.

5. Job Postings and Applications

Users may post and apply for job opportunities within the community. We do not verify job postings or employers and are not responsible for agreements made between users.

6. Privacy and Data Usage

• We collect and process user names, emails, location, education, and work experience.
• We do not sell user data.
• Users may request data and profile deletions as outlined in our Privacy Policy.

7. Third-Party Services

We use third-party services, including Convex (database) and Vercel (hosting), to provide our platform. By using our Services, you acknowledge that your data may be processed by these third parties in accordance with their respective privacy policies.

8. International Use and Data Transfers

As we operate globally, your data may be transferred and processed outside of your country, including in Hong Kong, where our company is based. By using our Services, you consent to such transfers, provided that we ensure adequate protection measures are in place.

9. Changes to the Services and Terms

We may modify our Services and update these Terms at any time. If we make changes, we will notify users via the platform or other means. Continued use of the Services after any changes constitute acceptance of the updated Terms.

10. Termination of Accounts

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in harmful behavior.

11. Limitation of Liability

Direct'r is provided "as is" without warranties. We are not liable for any damages, loss of data, or third-party actions arising from the use of our Services.

12. Indemnity

You agree to indemnify and hold harmless Direct'r, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

13. User Disputes

You are solely responsible for your interactions with other users of the Services. We reserve the right, but have no obligation, to monitor disputes between users. Direct'r is not responsible for any disputes or conflicts that arise between users and disclaims all liability related to such disputes. If you have a dispute with another user, you agree to resolve the issue independently and release Direct'r from any claims, demands, or damages arising from such disputes.

14. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes shall be resolved through arbitration or small claims court in Hong Kong unless otherwise required by applicable law.
